Definitions
- BrainBite.ai: Rodev IT B.V., established in Veen, Chamber of Commerce no. 73167703.
- Customer: the party which BrainBite.ai has entered into an agreement with.
- Parties: BrainBite.ai and customer together.
- Consumer: a customer who is an individual acting for private purposes.
Applicability
- These terms and conditions will apply to all quotations, offers, activities, orders, agreements and deliveries of services or products by or on behalf of BrainBite.ai.
- Parties can only deviate from these conditions if they have explicitly agreed upon in writing.
- The parties expressly exclude the applicability of supplementary and/or deviating general terms and conditions of the customer or of third parties.
Prices
- All prices used by BrainBite.ai are in euros, are inclusive of VAT and exclusive of any other costs such as administration costs, levies and travel-, shipping- or transport expenses, unless expressly stated otherwise or agreed otherwise.
- BrainBite.ai is entitled to adjust all prices for its products or services, shown in its shop, on its website or otherwise, at any time.
- The parties agree on a total price for a service provided by BrainBite.ai. This is always a target price, unless the parties have explicitly agreed upon in writing on a fixed price, which cannot be deviated from.
- BrainBite.ai is entitled to deviate up to 10% of the target price.
- If the target price exceeds 10%, BrainBite.ai must let the customer know in due time why a higher price is justified.
- If the target price exceeds 10%, the customer has the right to cancel the part of the order that exceeds the target price by 10%.
- BrainBite.ai has the right to adjust prices annually.
- BrainBite.ai will communicate price adjustments to the customer prior to the moment the price increase becomes effective.
- The consumer has the right to terminate the contract with BrainBite.ai if he does not agree with the price increase.
Payments and payment term
- BrainBite.ai may, at the conclusion of the agreement, require a down payment of up to 50% of the agreed amount.
- The customer must have paid the full amount within 14 days, after delivery.
- Payment terms are considered as fatal payment terms. This means that if the customer has not paid the agreed amount at the latest on the last day of the payment term, he is legally in default, without BrainBite.ai having to send the customer a reminder or to put him in default.
- BrainBite.ai reserves the right to make a delivery conditional upon immediate payment or to require adequate security for the total amount of the services or products.
Payments and payment term
- Products are immediately paid for.
- BrainBite.ai may, at the conclusion of the agreement, require a down payment of up to 50% of the agreed amount.
- The customer must pay invoices of BrainBite.ai within 14 days __________, unless parties have made other agreements about this or if the invoice has a different payment term.
- Payment terms are considered as fatal payment terms. This means that if the customer has not paid the agreed amount at the latest on the last day of the payment term, he is legally in default, without BrainBite.ai having to send the customer a reminder or to put him in default.
- BrainBite.ai reserves the right to make a delivery conditional upon immediate payment or to require adequate security for the total amount of the services or products.
Consequences of late payment
- If the customer does not pay within the agreed term, BrainBite.ai is entitled to charge an interest of 2% per month for non-commercial transactions from the day the customer is in default, whereby a part of a month is counted for a whole month.
- When the customer is in default, he is also due to extrajudicial collection costs and may be obliged to pay any compensation to BrainBite.ai.
- The collection costs are calculated on the basis of the Reimbursement for extrajudicial collection costs.
- If the customer does not pay on time, BrainBite.ai may suspend its obligations until the customer has met his payment obligation.
- In the event of liquidation, bankruptcy, attachment or suspension of payment on behalf of the customer, the claims of BrainBite.ai on the customer are immediately due and payable.
- If the customer refuses to cooperate with the performance of the agreement by BrainBite.ai, he is still obliged to pay the agreed price to BrainBite.ai.
Right of recovery of goods
- As soon as the customer is in default, BrainBite.ai is entitled to invoke the right of recovery with regard to the unpaid products delivered to the customer.
- BrainBite.ai invokes the right of recovery by means of a written or electronic announcement.
- As soon as the customer has been informed of the claimed right of recovery, the customer must immediately return the products concerned to BrainBite.ai, unless the parties agree to make other arrangements about this.

Article 8 - Right of withdrawal
- A consumer may cancel an online purchase during a cooling-off period of 14 days without giving any reason, provided that:

Ā ā¢ the product is not specially tailored for the consumer or adapted to its special needs

Ā ā¢ the seal is still intact, when the product is a data carrier with digital content (DVDs, CDs, etc.)
Ā ā¢ the product is not a separate magazine or a loose newspaper
Ā ā¢ the purchase does not concern an (assignment to) urgent repair
Ā ā¢ the product has not been usedit does not concern a service that is fully performed with the consent of the customer within the 14 calendar days right of withdrawel period and the consumer has not renounced his right of withdrawal - The cooling-off period of 14 days as referred to in paragraph 1 commences:

- The consumer can notify his right of withdrawal via info@brainbite.ai, if desired by using the withdrawal form that can be downloaded via the website of BrainBite.ai, https://brainbite.ai.
- The consumer is obliged to return the product to BrainBite.ai within 14 days after the notification of his right of withdrawal, after which period his right of withdrawal will lapse.
Reimbursement of delivery costs
- If the purchase costs and any other costs (such as delivery costs) are eligible for reimbursement according to the law, BrainBite.ai will refund these costs to the consumer within 14 days of receipt of the timely appeal to the right of withdrawal, provided that the consumer has returned the product to BrainBite.ai in time.
- The costs for return are only reimbursed by BrainBite.ai if the complete order is returned.
Reimbursement of return costs
If the consumer invokes his right of withdrawal and returns the entire order on time, the costs for returning the complete order will be borne by the consumer.
Suspension of obligations by the customer
The customer waives the right to suspend the fulfillment of any obligation arising from this agreement.
Right of retention
- BrainBite.ai can appeal to his right of retention of title and in that case retain the products sold by BrainBite.ai to the customer until the customer has paid all outstanding invoices with regard to BrainBite.ai, unless the customer has provided sufficient security for these payments.
- The right of retention of title also applies on the basis of previous agreements from which the customer still owes payments to BrainBite.ai.
- BrainBite.ai is never liable for any damage that the customer may suffer as a result of using his right of retention of title.
Settlement
The customer waives his right to settle any debt to BrainBite.ai with any claim on BrainBite.ai.
Retention of title
- BrainBite.ai remains the owner of all delivered products until the customer has fully complied with all its payment obligations with regard to BrainBite.ai under whatever agreement with BrainBite.ai including of claims regarding the shortcomings in the performance.
- Until then, BrainBite.ai can invoke its retention of title and take back the goods.
- Before the property is transferred to the customer, the customer may not pledge, sell, dispose of or otherwise encumber the products.
- If BrainBite.ai invokes its retention of title, the agreement will be dissolved and BrainBite.ai has the right to claim compensation, lost profits and interest.
Delivery
- Delivery takes place while stocks last.
- Delivery takes place at BrainBite.ai unless the parties have agreed upon otherwise.
- Delivery of products ordered online takes place at the address indicated by the customer.
- If the agreed price is not paid on time, BrainBite.ai has the right to suspend its obligations until the agreed price is fully paid.
- In the event of late payment, the customer is automatically in default, and hereby he cannot object to late delivery by BrainBite.ai.
Delivery period
- Any delivery period specified by BrainBite.ai is indicative and does not give the customer the right to dissolution or compensation if this period is not met with, unless the parties have expressly agreed otherwise in writing.
- The delivery starts once the customer has fully completed the (electronic) ordering process and received an (electronic) confirmation of his order from BrainBite.ai.
- Exceeding the specified delivery period does not entitle the customer to compensation or the right to terminate the contract, unless BrainBite.ai cannot deliver within 14 days after the customer has urged him to do so in writing or if the parties have agreed upon otherwise.
Actual delivery
The customer must ensure that the actual delivery of the products ordered by him can take place in time.
Transport costs
Transport costs are paid by the customer, unless the parties have agreed upon otherwise.
Packaging and shipping
- If the package of a delivered product is opened or damaged, the customer must have a note drawn up by the forwarder or delivery person before receiving the product. In the absence of which BrainBite.ai may not be held liable for any damage.
- If the customer himself takes care of the transport of a product, he must report any visible damage to products or the packaging prior to the transport to BrainBite.ai, failing which BrainBite.ai cannot be held liable for any damage.
Insurance
- The customer undertakes to insure and keep insured the following items adequately against fire, explosion and water damage as well as theft:
Ā ā¢ goods delivered that are necessary for the execution of the underlying agreement
Ā ā¢ goods being property of BrainBite.ai that are present at the premises of the customer
Ā ā¢ goods that have been delivered under retention of title - At the first request of BrainBite.ai, the customer provides the policy for these insurances for inspection.
Storage
- If the customer orders products later than the agreed delivery date, the risk of any quality loss is entirely for the customer.
- Any extra costs as a result of premature or late purchase of products are entirely at the customer's expense.
Guarantee
- When parties have entered into an agreement with services included, these services only contain best-effort obligations for BrainBite.ai, not obligations of results.
- The warranty relating to products only applies to defects caused by faulty manufacture, construction or material.
- The warranty does not apply in the event of normal wear and tear and damage resulting from accidents, changes made to the product, negligence or improper use by the customer, or when the cause of the defect cannot clearly be established.
- The risk of loss, damage or theft of the products that are the subject of an agreement between the parties, will pass on to the customer when these products are legally and/or factually delivered, at least are in the power of the customer or of a third party who receives the product for the benefit of the customer.
Performance of the agreement
- BrainBite.ai executes the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship.
- BrainBite.ai has the right to have the agreed services (partially) performed by third parties.
- The execution of the agreement takes place in mutual consultation and after written agreement and payment of the possibly agreed advance by the customer.
- It is the responsibility of the customer that BrainBite.ai can start the implementation of the agreement on time.
- If the customer has not ensured that BrainBite.ai can start the implementation of the agreement in time, the resulting additional costs and/or extra hours will be charged to the customer.
Duty to inform by the customer
- The customer shall make available to BrainBite.ai all information, data and documents relevant to the correct execution of the agreement to in time and in the desired format and manner.
- The customer guarantees the correctness, completeness and reliability of the information, data and documents made available, even if they originate from third parties, unless otherwise ensuing from the nature of the agreement.
- If and insofar as the customer requests this, BrainBite.ai will return the relevant documents.
- If the customer does not timely and properly provides the information, data or documents reasonably required by BrainBite.ai and the execution of the agreement is delayed because of this, the resulting additional costs and extra hours will be charged to the customer.
Duration of the service agreement
- The agreement between BrainBite.ai and the customer is entered into for the duration of 1 months, unless it results otherwise from the nature of the agreement or if the parties have expressly agreed otherwise in writing.
- If a fixed-term contract has been entered into, it will be tacitly converted into an open-ended contract at the end of the term, unless 1 of the parties terminates the contract with due observance of a notice period of month(s), or if a consumer terminates the agreement with due observance of a notice period of 1 month causing the agreement to end at the end of the fixed term.
- If the parties have agreed upon a term for the completion of certain activities, this is never a strict deadline, unless specified explicitly otherwise in writing. If this term is exceeded, the customer must give BrainBite.ai a written reasonable term to terminate the activities, before it may either terminate the contract or claim damages.
Indemnity
The customer indemnifies BrainBite.ai against all third-party claims that are related to the products and/or services supplied by BrainBite.ai.
Complaints
- The customer must examine a product or service provided by BrainBite.ai as soon as possible for possible shortcomings.
- If a delivered product or service does not comply with what the customer could reasonably expect from the agreement, the customer must inform BrainBite.ai of this as soon as possible, but in any case within 1 month after the discovery of the shortcomings.
- Consumers must inform BrainBite.ai of this within two months after detection of the shortcomings.
- The customer gives a detailed description as possible of the shortcomings, so that BrainBite.ai is able to respond adequately.
- The customer must demonstrate that the complaint relates to an agreement between the parties.
- If a complaint relates to ongoing work, this can in any case not lead to BrainBite.ai being forced to perform other work than has been agreed.
Giving notice
- The customer must provide any notice of default to BrainBite.ai in writing.
- It is the responsibility of the customer that a notice of default actually reaches BrainBite.ai (in time).
Joint and several Client liabilities
If BrainBite.ai enters into an agreement with several customers, each of them shall be jointly and severally liable for the full amounts due to BrainBite.ai under that agreement.
Liability of BrainBite.ai
- BrainBite.ai is only liable for any damage the customer suffers if and insofar as this damage is caused by intent or gross negligence.
- If BrainBite.ai is liable for any damage, it is only liable for direct damages that results from or is related to the execution of an agreement.
- BrainBite.ai is never liable for indirect damages, such as consequential loss, lost profit, lost savings or damage to third parties.
- If BrainBite.ai is liable, its liability is limited to the amount paid by a closed (professional) liability insurance and in the absence of (full) payment by an insurance company of the damages the amount of the liability is limited to the (part of the) invoice to which the liability relates.
- All images, photos, colors, drawings, descriptions on the website or in a catalog are only indicative and are only approximate and cannot lead to any compensation and/or (partial) dissolution of the agreement and/or suspension of any obligation.
Expiry period
Every right of the customer to compensation from BrainBite.ai shall, in any case, expire within 12 months after the event from which the liability arises directly or indirectly. This does not exclude the provisions in article 6:89 Dutch Civil Code.
Dissolution
- The customer has the right to dissolve the agreement if BrainBite.ai imputably fails in the fulfillment of his obligations, unless this shortcoming does not justify termination due to its special nature or because it is of minor significance.
- If the fulfillment of the obligations by BrainBite.ai is not permanent or temporarily impossible, dissolution can only take place after BrainBite.ai is in default.
- BrainBite.ai has the right to dissolve the agreement with the customer, if the customer does not fully or timely fulfill his obligations under the agreement, or if circumstances give BrainBite.ai good grounds to fear that the customer will not be able to fulfill his obligations properly.
Force majeure
- In addition to the provisions of article 6:75 Dutch Civil Code, a shortcoming of BrainBite.ai in the fulfillment of any obligation to the customer cannot be attributed to BrainBite.ai in any situation independent of the will of BrainBite.ai, when the fulfillment of its obligations towards the customer is prevented in whole or in part or when the fulfillment of its obligations cannot reasonably be required from BrainBite.ai .
- The force majeure situation referred to in paragraph 1 is also applicable - but not limited to: state of emergency (such as civil war, insurrection, riots, natural disasters, etc.); defaults and force majeure of suppliers, deliverymen or other third parties; unexpected disturbances of power, electricity, internet, computer or telecoms; computer viruses, strikes, government measures, unforeseen transport problems, bad weather conditions and work stoppages.
- If a situation of force majeure arises as a result of which BrainBite.ai cannot fulfill one or more obligations towards the customer, these obligations will be suspended until BrainBite.ai can comply with it.
- From the moment that a force majeure situation has lasted at least 30 calendar days, both parties may dissolve the agreement in writing in whole or in part.
- BrainBite.ai does not owe any (damage) compensation in a situation of force majeure, even if it has obtained any advantages as a result of the force majeure situation.
Modification of the agreement
If, after the conclusion of the agreement and before its implementation, it appears necessary to change or supplement its contents, the parties shall timely and in mutual consultation adjust the agreement accordingly.
Changes in the general terms and conditions
- BrainBite.ai is entitled to amend or supplement these general terms and conditions.
- Changes of minor importance can be made at any time.
- Major changes in content will be discussed by BrainBite.ai with the customer in advance as much as possible.
- Consumers are entitled to cancel the agreement in the event of a substantial change to the general terms and conditions.
Transfer of rights
- The customer cannot transfer its rights deferring from an agreement with BrainBite.ai to third parties without the prior written consent of BrainBite.ai.
- This provision applies as a clause with a property law effect as referred to in Section 3:83 (2) Dutch Civil Code.
Consequences of nullity or annullability
- If one or more provisions of these general terms and conditions prove null or annullable, this will not affect the other provisions of these terms and conditions.
- A provision that is null or annullable shall, in that case, be replaced by a provision that comes closest to what BrainBite.ai had in mind when drafting the conditions on that issue.
Applicable law and competent court
- Dutch law is exclusively applicable to all agreements between the parties.
- The Dutch court in the district where BrainBite.ai is established is exclusively competent in case of any disputes between parties, unless the law prescribes otherwise.

Terms and Conditions of BrainBite.ai
Article 1: Definitions
In these Terms and Conditions, the following terms shall have the following meanings:
- Account: The personal and protected environment of the customer (parent or child) within the website of BrainBite.ai, accessible after entering login credentials.
- Terms and Conditions: These terms and conditions of BrainBite.ai.
- BrainBite.ai: The trade name of Rodev IT B.V., established in Veen, registered with the Chamber of Commerce under number 73167703.
- Content: All information published by BrainBite.ai on the website, including but not limited to exercises, study materials, videos, games, texts, tables, reports, overviews, and the layout and look-and-feel of the website.
- Service: The service provided by BrainBite.ai based on the agreement between BrainBite.ai and the customer, including the offering of products and services via the website.
- IP Rights: All intellectual property rights and related rights, such as copyright, trademark rights, trade name rights, database rights, and neighboring rights, as well as know-how and single performances.
- Login Credentials: The username and password by which the parent or child gains access to the account.
- Child: The natural person using the service via a child account as a child of the parent.
- Customer: The natural or legal person using the service of BrainBite.ai.
- Parent: The natural person using the service via a parent account as a parent or guardian of the child and who has entered into an agreement with BrainBite.ai on behalf of the child.
- Agreement: The agreement between the customer and BrainBite.ai regarding the use of the service.
- Website: The website of BrainBite.ai, including all underlying pages and applications.
Article 2: Applicability
- 2.1 These terms and conditions apply to all agreements between BrainBite.ai and the customer, as well as to any use of the service by the customer, unless expressly agreed otherwise in writing.
- 2.2 By using the service or entering into an agreement with BrainBite.ai, the customer fully and unconditionally accepts these terms and conditions.
- 2.3 BrainBite.ai reserves the right to amend or supplement these terms and conditions at any time. BrainBite.ai will proactively inform customers of any changes to the terms and conditions via email or another direct communication channel. Changes will be posted on the website at least 30 days before their effective date. Continued use of the service after the changes take effect will be considered acceptance of the revised terms.
Article 3: Access to the Service
- 3.1 To use the service, the customer must enter into an agreement with BrainBite.ai by creating an account on the website. The customer will receive login credentials to access the service.
- 3.2 The customer is responsible for maintaining the confidentiality of their login credentials. BrainBite.ai is not liable for any loss or damage resulting from unauthorized use of the account by third parties.
- 3.3 BrainBite.ai reserves the right to deny or terminate access to the service if it appears that the customer has provided incorrect information, misuses the service, or acts in violation of these terms and conditions.
Article 4: Use of the Service
- 4.1 The service is provided "as is" and may include personalized learning, interactive learning activities, and reporting functions for parents and teachers.
- 4.2 The customer is not permitted to use the service for commercial purposes without prior written consent from BrainBite.ai. It is prohibited to use the service in a manner that is contrary to the law, public order, or morality, or that may cause damage to BrainBite.ai or third parties.
- 4.3 BrainBite.ai reserves the right to temporarily or permanently restrict, suspend, or terminate access to (parts of) the service if the customer fails to comply with these terms and conditions or if the use of the service may disrupt the operation of the website.
Article 5: Payment
- 5.1 The customer is obligated to pay the fees as listed on the website or as agreed in the agreement. Payment must be made in the manner and within the period indicated by BrainBite.ai.
- 5.2 If the customer does not pay on time, BrainBite.ai is entitled to charge statutory interest and collection costs, and access to the service may be suspended or terminated.
- 5.3 BrainBite.ai reserves the right to change the prices of the service. Price changes will be announced at least 30 days before they take effect via the website. If the customer does not agree with the price change, they have the right to terminate the agreement. If the customer terminates the agreement due to a price change, BrainBite.ai will refund the customer proportionately for any prepaid amounts related to the period after the price change takes effect.
Article 6: IP Rights
- 6.1 All IP rights relating to the service, the website, and the content belong to BrainBite.ai or its licensors. The use of the service does not grant the customer any rights to the IP rights of BrainBite.ai.
- 6.2 The customer may not copy, modify, distribute, transfer, or publicly disclose any content from the service or website without express prior written consent from BrainBite.ai.
Article 7: Warranties
- 7.1 BrainBite.ai strives to provide the service to the best of its ability but does not provide warranties regarding the content, functionality, availability, or suitability of the service for a particular purpose.
- 7.2 BrainBite.ai does not guarantee that the service will be free from errors, interruptions, or security issues at all times.
Article 8: Liability
- 8.1 BrainBite.ai is only liable for direct damage resulting from intentional misconduct or gross negligence. Liability is limited to the amount paid by the customer in the three months preceding the event causing the damage. The limitation of liability does not apply if the damage results from intentional misconduct or gross negligence by BrainBite.ai. In such cases, liability is limited to the amount paid by BrainBite.ai's insurer, or, if no insurance payout is made, to a maximum amount of ā¬10,000.
- 8.2 BrainBite.ai is not liable for indirect damage, including consequential damage, loss of profits, data loss, or intangible damage.
Article 9: Commencement and Duration
- 9.1 The agreement takes effect on the date the customer registers for the service and remains in force until it is terminated by the customer or BrainBite.ai in accordance with Article 10.
- 9.2 The customer may terminate the agreement at any time via the BrainBite.ai website. Any prepaid amounts will not be refunded.
Article 10: Termination
- 10.1 BrainBite.ai reserves the right to terminate the agreement with immediate effect if the customer breaches the terms and conditions, misuses the service, or if BrainBite.ai is legally obliged to do so. If BrainBite.ai decides to terminate the agreement due to alleged breaches, BrainBite.ai will notify the customer in writing, stating the reason(s) for termination. The customer will have 14 days to respond to the termination notice and raise any objections.
- 10.2 Upon termination of the agreement for any reason, the customer's right to access the service and all associated rights shall immediately cease.
Article 11: Satisfaction Guarantee
- 11.1 BrainBite.ai offers a satisfaction guarantee whereby the customer may request a refund within 14 days of purchasing a service if they are not satisfied, provided all conditions specified on the website are met.
- 11.2 Refunds will be processed within 30 days of approval of the request by BrainBite.ai.
Article 12: Privacy
- 12.1 BrainBite.ai respects the privacy of its users and processes personal data in accordance with applicable laws and regulations, as set out in the privacy policy on the website.
- 12.2 By using the service, the customer consents to the processing of their personal data as described in the privacy policy.
Article 13: Complaints
- 13.1 The customer is obliged to report any complaints about the service or products of BrainBite.ai as soon as possible, but no later than 30 days after the complaint arises, in writing or via the website to BrainBite.ai.
- 13.2 Complaints must be submitted completely and clearly described, so that BrainBite.ai can determine the nature and cause of the complaint and respond effectively.
- 13.3 Upon receipt of the complaint, BrainBite.ai will send an acknowledgment within 14 days and inform the customer about the further procedure. BrainBite.ai aims to resolve complaints within 30 days of receipt. If a complaint requires a longer processing time, BrainBite.ai will inform the customer within this 30-day period of the delay and provide an estimated handling time.
- 13.4 If the complaint is found to be justified, BrainBite.ai will, at its discretion, either offer an appropriate solution or proceed to a full or partial refund of the fees already paid.
- 13.5 If the customer and BrainBite.ai do not reach a solution, the customer may submit the dispute to the competent court as described in Article 14.3.
- 13.6 Submitting a complaint does not release the customer from their obligations under the agreement, unless BrainBite.ai states otherwise in writing.
Article 14: Miscellaneous
- 14.1 If any provision of these terms and conditions is declared null or invalid, the remaining provisions shall remain in full force and effect.
- 14.2 BrainBite.ai has the right to transfer its rights and obligations under the agreement to a third party without prior written consent from the customer.
- 14.3 These terms and conditions are governed exclusively by Dutch law. Disputes will be submitted to the competent court in the district where BrainBite.ai is established.

- Account: de persoonlijke en afgeschermde omgeving van de klant (ouder of kind) binnen de website van BrainBite.ai, waartoe toegang wordt verkregen na het invoeren van inloggegevens.
- Algemene Voorwaarden: deze algemene voorwaarden van BrainBite.ai.
- BrainBite.ai: de handelsnaam van Rodev IT B.V., gevestigd te Veen, geregistreerd bij de Kamer van Koophandel onder nummer 73167703.
- Content: alle informatie die door BrainBite.ai op de website is geplaatst, waaronder maar niet beperkt tot oefeningen, studiemateriaal, videoās, games, teksten, tabellen, rapporten, overzichten en de lay-out en look-and-feel van de website.
- Dienst: de dienst die BrainBite.ai verleent op basis van de tussen BrainBite.ai en de klant gesloten overeenkomst, waaronder het aanbieden van producten en diensten via de website.
- IE-Rechten: alle rechten van intellectuele eigendom en daarmee verwante rechten, zoals auteursrechten, merkrechten, handelsnaamrechten, databankrechten en naburige rechten, alsmede knowhow en eenlijnsprestaties.
- Inloggegevens: de gebruikersnaam en het wachtwoord waarmee de ouder of het kind toegang krijgt tot het account.
- Kind: de natuurlijke persoon die via een kinderaccount gebruik maakt van de dienst als kind van de ouder.
- Klant: de natuurlijke persoon of rechtspersoon die gebruik maakt van de dienst van BrainBite.ai.
- Ouder: de natuurlijke persoon die via een ouderaccount gebruik maakt van de dienst als ouder of verzorger van het kind en ten behoeve van het kind een overeenkomst heeft gesloten met BrainBite.ai.
- Overeenkomst: de overeenkomst tussen de klant en BrainBite.ai met betrekking tot het gebruik van de dienst.
- Website: de website van BrainBite.ai, inclusief alle onderliggende pagina's en applicaties.
Artikel 2: Toepasselijkheid
- 2.1 Deze algemene voorwaarden zijn van toepassing op alle overeenkomsten tussen BrainBite.ai en de klant, evenals op elk gebruik van de dienst door de klant, tenzij uitdrukkelijk en schriftelijk anders is overeengekomen.
- 2.2 Door gebruik te maken van de dienst of een overeenkomst met BrainBite.ai aan te gaan, accepteert de klant deze algemene voorwaarden volledig en zonder voorbehoud.
- 2.3 BrainBite.ai behoudt zich het recht voor om deze algemene voorwaarden op elk moment te wijzigen of aan te vullen. BrainBite.ai zal klanten proactief informeren over wijzigingen in de algemene voorwaarden via e-mail of een ander direct communicatiekanaal.Ā Ā Wijzigingen worden minimaal 30 dagen voor de inwerkingtreding op de website geplaatst. Bij voortgezet gebruik van de dienst na de inwerkingtreding van de wijzigingen wordt de klant geacht de gewijzigde voorwaarden te accepteren.
Artikel 3: Toegang tot de Dienst
- 3.1 Om gebruik te kunnen maken van de dienst, moet de klant een overeenkomst aangaan met BrainBite.ai door het creƫren van een account op de website. De klant ontvangt inloggegevens waarmee hij toegang krijgt tot de dienst.
- 3.2 De klant is verantwoordelijk voor het waarborgen van de vertrouwelijkheid van zijn inloggegevens. BrainBite.ai is niet aansprakelijk voor verlies of schade als gevolg van ongeautoriseerd gebruik van het account door derden.
- 3.3 BrainBite.ai behoudt zich het recht voor om de toegang tot de dienst te weigeren of te beƫindigen indien blijkt dat de klant onjuiste gegevens heeft verstrekt, de dienst misbruikt of in strijd handelt met deze algemene voorwaarden.
Artikel 4: Gebruik van de Dienst
- 4.1 De dienst wordt aangeboden zoals beschikbaar ("as is") en kan onder andere bestaan uit gepersonaliseerd leren, interactieve leeractiviteiten, en rapportagefuncties voor ouders en leraren.
- 4.2 Het is de klant niet toegestaan de dienst te gebruiken voor commerciƫle doeleinden zonder voorafgaande schriftelijke toestemming van BrainBite.ai. Het is verboden om de dienst te gebruiken op een manier die in strijd is met de wet, de openbare orde, de goede zeden of die schade kan toebrengen aan BrainBite.ai of derden.
- 4.3 BrainBite.ai behoudt zich het recht voor om de toegang tot (delen van) de dienst tijdelijk of permanent te beperken, op te schorten of te beƫindigen als de klant zich niet houdt aan deze algemene voorwaarden of als het gebruik van de dienst de werking van de website kan verstoren.
Artikel 5: Betaling
- 5.1 De klant is verplicht de tarieven te betalen zoals vermeld op de website of zoals overeengekomen in de overeenkomst. Betaling dient plaats te vinden op de wijze en binnen de termijn zoals aangegeven door BrainBite.ai.
- 5.2 Indien de klant niet tijdig betaalt, is BrainBite.ai gerechtigd wettelijke rente en incassokosten in rekening te brengen en kan de toegang tot de dienst worden opgeschort of beƫindigd.
- 5.3 BrainBite.ai behoudt zich het recht voor om de prijzen van de dienst te wijzigen. Prijswijzigingen worden minimaal 30 dagen voor de inwerkingtreding aangekondigd via de website. Indien de klant niet akkoord gaat met de prijswijziging, heeft hij het recht de overeenkomst te beƫindigen. Indien de klant de overeenkomst beƫindigt vanwege een prijswijziging, zal BrainBite.ai de klant naar evenredigheid terugbetalen voor vooruitbetaalde bedragen die betrekking hebben op de periode na de inwerkingtreding van de prijswijziging.
Artikel 6: IE-Rechten
- 6.1 Alle IE-rechten met betrekking tot de dienst, de website en de content behoren toe aan BrainBite.ai of haar licentiegevers. Het gebruik van de dienst verleent de klant geen rechten op de IE-rechten van BrainBite.ai.
- 6.2 De klant mag geen content van de dienst of website kopiƫren, wijzigen, distribueren, overdragen of openbaar maken zonder uitdrukkelijke voorafgaande schriftelijke toestemming van BrainBite.ai.
Artikel 7: Garanties
- 7.1 BrainBite.ai streeft ernaar de dienst naar beste vermogen te leveren, maar biedt geen garanties met betrekking tot de inhoud, functionaliteit, beschikbaarheid of geschiktheid van de dienst voor een bepaald doel.
- 7.2 BrainBite.ai garandeert niet dat de dienst te allen tijde vrij zal zijn van fouten, onderbrekingen of beveiligingsproblemen.
Artikel 8: Aansprakelijkheid
- 8.1 BrainBite.ai is alleen aansprakelijk voor directe schade die het gevolg is van opzet of grove nalatigheid. De aansprakelijkheid is beperkt tot het bedrag dat de klant in de drie maanden voorafgaand aan de schadeveroorzakende gebeurtenis heeft betaald. De beperking van aansprakelijkheid is niet van toepassing indien de schade het gevolg is van opzet of grove nalatigheid van BrainBite.ai. In dergelijke gevallen zal de aansprakelijkheid beperkt zijn tot het bedrag dat door de verzekeraar van BrainBite.ai wordt uitgekeerd of, indien geen verzekeringsuitkering plaatsvindt, tot een bedrag van ā¬10.000.
- 8.2 BrainBite.ai is niet aansprakelijk voor indirecte schade, waaronder gevolgschade, gederfde winst, verlies van data of immateriƫle schade.
Artikel 9: Inwerkingtreding en Duur
- 9.1 De overeenkomst treedt in werking op de datum waarop de klant zich aanmeldt voor de dienst en blijft van kracht totdat deze wordt beƫindigd door de klant of BrainBite.ai overeenkomstig artikel 10.
- 9.2 De klant kan de overeenkomst op elk moment beƫindigen via de website van BrainBite.ai. Eventuele vooruitbetaalde bedragen worden niet gerestitueerd.
Artikel 10: Beƫindiging
- 10.1 BrainBite.ai behoudt zich het recht voor om de overeenkomst met onmiddellijke ingang te beƫindigen indien de klant de algemene voorwaarden overtreedt, de dienst misbruikt, of indien BrainBite.ai hiertoe wettelijk verplicht is. Indien BrainBite.ai besluit de overeenkomst te beƫindigen vanwege vermeende overtredingen, zal BrainBite.ai de klant schriftelijk op de hoogte stellen met vermelding van de reden(en) voor beƫindiging. De klant krijgt een periode van 14 dagen om op de beƫindigingsmelding te reageren en eventuele bezwaren kenbaar te maken.
- 10.2 Bij beƫindiging van de overeenkomst om welke reden dan ook, vervalt het recht van de klant op toegang tot de dienst en alle bijbehorende rechten onmiddellijk.
Artikel 11: Tevredenheidsgarantie
- 11.1 BrainBite.ai biedt een tevredenheidsgarantie waarbij de klant binnen 14 dagen na aankoop van een dienst een terugbetaling kan aanvragen indien hij niet tevreden is, mits aan alle voorwaarden wordt voldaan zoals vermeld op de website.
- 11.2 Terugbetalingen vinden plaats binnen 30 dagen na goedkeuring van de aanvraag door BrainBite.ai.
Artikel 12: Privacy
- 12.1 BrainBite.ai respecteert de privacy van haar gebruikers en verwerkt persoonsgegevens in overeenstemming met de geldende wet- en regelgeving, zoals uiteengezet in de privacyverklaring op de website.
- 12.2 Door gebruik te maken van de dienst, stemt de klant in met de verwerking van zijn persoonsgegevens zoals beschreven in de privacyverklaring.
Artikel 13: Klachten
- 13.1 De klant is verplicht om eventuele klachten over de dienst of producten van BrainBite.ai zo spoedig mogelijk, doch uiterlijk binnen 30 dagen na het ontstaan van de klacht, schriftelijk of via de website bij BrainBite.ai te melden.
- 13.2 Klachten dienen volledig en duidelijk omschreven te worden ingediend, zodat BrainBite.ai de aard en oorzaak van de klacht kan vaststellen en effectief kan reageren.
- 13.3 Na ontvangst van de klacht stuurt BrainBite.ai binnen 14 dagen een ontvangstbevestiging en wordt de klant geĆÆnformeerd over de verdere procedure. BrainBite.ai streeft ernaar om klachten binnen 30 dagen na ontvangst af te handelen. Indien een klacht een langere verwerkingstijd vraagt, zal BrainBite.ai de klant binnen deze 30 dagen op de hoogte stellen van de vertraging en een indicatie geven van de verwachte afhandelingstermijn.
- 13.4 Indien de klacht gegrond wordt bevonden, zal BrainBite.ai, naar eigen keuze, ofwel een passende oplossing bieden, ofwel overgaan tot volledige of gedeeltelijke terugbetaling van de reeds betaalde vergoedingen.
- 13.5 Indien de klant en BrainBite.ai niet tot een oplossing komen, kan de klant het geschil voorleggen aan de bevoegde rechter zoals beschreven in artikel 14.3.
- 13.6 Het indienen van een klacht ontslaat de klant niet van zijn verplichtingen uit hoofde van de overeenkomst, tenzij BrainBite.ai schriftelijk anders aangeeft.
Artikel 14: Overig
- 14.1 Indien enige bepaling van deze algemene voorwaarden nietig of ongeldig wordt verklaard, blijven de overige bepalingen onverminderd van kracht.
- 14.2 BrainBite.ai heeft het recht om haar rechten en verplichtingen onder de overeenkomst over te dragen aan een derde zonder voorafgaande schriftelijke toestemming van de klant.
- 14.3 Op deze overeenkomst is uitsluitend Nederlands recht van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waar BrainBite.ai is gevestigd.
